1. Acceptance of Terms

These Terms govern your access to and use of cuSafely (the "Service"), provided by CES Credit Union ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility & Accounts

• Eligibility: You must be authorized by your organization to register and use cuSafely.
• Account Approval: New accounts require administrative approval and may remain inactive until approved.
• Credentials: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Accuracy: You must provide accurate information and promptly update it as needed.

3. Organizational Access & Approval

Access, roles, and permissions are managed by your organization's administrators. Your access may be limited to specific companies or locations. Administrators may approve, deny, or revoke access at any time in accordance with organizational policy.

4. Acceptable Use

When using the Service, you agree not to:

• Engage in unlawful, harmful, or disruptive activity.
• Attempt to gain unauthorized access, probe, or test system vulnerabilities.
• Impersonate others or misrepresent your affiliation.
• Interfere with the security, availability, or performance of the Service.
• Use the Service to transmit harmful content (e.g., malware, spam).

5. Location Status & Operational Notices

The Service may display location status (e.g., "Clear to Enter" or "Not Safe to Enter") and communications intended for your organization. Status information is provided for operational awareness and may change at any time. Always follow onsite instructions and official safety policies if they differ from the app.

6. Messages, Notifications & Communications

• Messages are targeted to your assigned company/locations and visible after your account is approved.
• Opening a message may mark it as "Read." Unread counts may be displayed.
• Push notifications may be delivered to supported browsers/devices if you opt-in.

7. Privacy

Our collection and use of personal information are described in the Privacy Policy, which is incorporated by reference.

8. Security

We implement reasonable measures to protect the Service. However, no system is completely secure. You are responsible for using strong passwords, safeguarding credentials, and promptly notifying us of suspected unauthorized access.

9. Intellectual Property

The Service (including software, text, logos, and content) is owned by us or licensed to us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms and organizational policy.

10. Third-Party Services

The Service may integrate with third-party services (e.g., email or push providers). We are not responsible for third-party services, and your use of them is subject to their terms and privacy policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE (IF ANY) DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service or violation of these Terms.

14. Suspension & Termination

We may suspend or terminate access at any time for any reason, including violation of these Terms or organizational policies. Upon termination, your right to use the Service ceases immediately.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be posted within the Service. Continued use after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict of laws principles. You agree to exclusive jurisdiction and venue of state and federal courts located in Ohio for disputes related to these Terms or the Service.
